Century Casinos receives Nasdaq notice for minimum market value deficiency
Century Casinos, Inc. (NASDAQ:CNTY) announced Friday that it received a deficiency notice from the Nasdaq Listing Qualifications staff. According to a press release statement, the notice was issued on October 19 after the company’s common stock failed to maintain the minimum Market Value of Listed Securities (MVLS) of $35 million for the previous 30 consecutive business days, a requirement under Nasdaq Listing Rule 5550(b)(2). The company’s current market capitalization stands at $21.27 million, well below the required threshold, as the stock trades at $0.76—near its 52-week low of $0.75. Shares have declined roughly 66% over the past year.
The notice does not immediately affect the listing of Century Casinos’ common stock on the Nasdaq Capital Market. The company has 180 calendar days, until April 19, 2027, to regain compliance. To do so, the company’s MVLS must close at $35 million or more for at least 10 consecutive business days before the compliance deadline. Nasdaq staff may require a longer compliance period at their discretion.
Alternatively, Century Casinos can regain compliance by meeting other continued listing requirements, such as maintaining stockholders’ equity of at least $2.5 million or reporting net income from continuing operations of $500,000, as outlined under Nasdaq Listing Rule 5550(b)(1) and 5550(b)(3).
If the company does not meet the compliance requirements by the deadline, Nasdaq staff will provide written notification that the company’s common stock is subject to delisting. Century Casinos would then have the opportunity to appeal the determination to a Nasdaq hearings panel, though there is no assurance that such an appeal would be successful.
Century Casinos stated in the filing that it intends to actively monitor the market value of its common stock and evaluate available options to address the deficiency.
This information is based on a statement provided in the company’s recent SEC filing.
In other recent news, Century Casinos reported record second-quarter revenue for 2026, reaching $152 million, marking the highest second-quarter total in the company’s history. Despite this achievement, the company’s adjusted loss was $0.39 per share, which was wider than the analysts’ expectations of a $0.33 per share loss. Revenue also fell short of estimates, which were projected at $153.86 million. In terms of operations, Century Casinos’ U.S. segment showed strong performance, with adjusted EBITDAR surpassing expectations due to successful turnaround efforts at the Nugget and project advancements in Missouri. However, the company’s operations in Poland did not meet expectations, and properties such as Rocky Gap and Mountaineer experienced a sequential slowdown. Analyst firm Stifel maintained a Buy rating on Century Casinos, with a price target of $2.50, following these mixed results. These developments highlight the company’s ongoing efforts and challenges in its various operational regions.
