T3 Defense says it has regained compliance with Nasdaq equity requirement
T3 Defense Inc. (NASDAQ:DFNS) announced Friday that it has regained compliance with the Nasdaq Stock Market’s minimum stockholders’ equity requirement, according to a statement in a recent SEC filing.
The company reported that it had previously received a notice from Nasdaq on August 20, 2026, indicating that it was not in compliance with the minimum stockholders’ equity requirement of $10 million, as set forth in Nasdaq Listing Rule 5450(b)(1)(A). This notice was based on financial data from T3 Defense’s Form 10-Q for the period ended June 30, 2026, which showed a stockholders’ equity deficit of approximately $19.7 million.
The deficit was attributed to the classification of warrants issued in a $20 million private placement in February 2026 as liability-classified instruments, which were remeasured at fair value each quarter. The value of the warrant liability increased from about $24.5 million at December 31, 2025, to approximately $124.4 million at June 30, 2026. This change moved stockholders’ equity from approximately $42.5 million at March 31, 2026, to the reported deficit at June 30.
As of September 30, 2026, T3 Defense stated that holders had exercised about 96% of the outstanding warrants, substantially eliminating the non-cash liability that had reduced stockholders’ equity. On a pro forma basis, the company’s total stockholders’ equity as of that date was approximately $99.9 million.
T3 Defense indicated that it has requested Nasdaq to confirm the resolution of the previously disclosed equity deficiency and to acknowledge the company’s compliance with the listing standard. The company noted that Nasdaq will continue to monitor ongoing compliance, and if future reports do not demonstrate continued compliance, T3 Defense may be subject to delisting.
This information is based on a press release statement included in the company’s Form 8-K filing with the Securities and Exchange Commission.
In other recent news, T3 Defense Inc. has announced that it has regained compliance with Nasdaq’s minimum bid price requirement. This follows a period from August 3 to August 14, 2026, during which the company’s stock maintained a closing bid price of at least $1.00 per share for ten consecutive business days. This achievement comes after a previous notification in May 2026, when T3 Defense was informed that its share price had fallen below the required threshold. Additionally, T3 Defense held its annual meeting of stockholders, where shareholders approved the director slate, auditor, and equity plan. The meeting took place with 66,928,688 shares present or represented by proxy, out of 126,311,902 shares issued and outstanding as of the July 9 record date. It is important to note that these figures do not account for a 1-for-125 reverse stock split that took effect on July 20. These developments reflect the company’s ongoing efforts to meet regulatory requirements and engage with its shareholders.
