Innventure receives Nasdaq notice for minimum bid price non-compliance

Innventure, Inc. (NASDAQ:INV) announced Friday it received a notice from the Listing Qualifications Department of The Nasdaq Stock Market LLC indicating that the company no longer meets the minimum bid price requirement for continued listing on the exchange. The stock currently trades at $0.32, well below the required $1.00 threshold, and has declined roughly 90% over the past year.

According to a press release statement and an SEC filing, Innventure’s common stock failed to maintain a closing bid price of at least $1.00 per share for thirty consecutive business days, as required by Nasdaq Listing Rule 5450(a)(1). The company has been given an initial period of 180 calendar days, until April 21, 2027, to regain compliance by achieving a closing bid price of $1.00 or more for at least ten consecutive business days within this timeframe.

If Innventure does not meet the requirement during this initial compliance period, it may qualify for an additional 180-day period to regain compliance if it transfers its listing from the Nasdaq Global Market to the Nasdaq Capital Market. According to InvestingPro analysis, which rates the company’s overall financial health as "weak," the stock has taken a significant hit over the last six months—one of 14 additional ProTips available to subscribers, along with comprehensive Pro Research Reports covering key metrics and expert analysis. To be eligible for this extension, the company must meet all other initial listing standards for the Nasdaq Capital Market, except for the minimum bid price, and provide written notice of its intent to address the deficiency.

The notice does not result in the immediate delisting of Innventure’s common stock from the Nasdaq Global Market. The company stated it is working to maintain its listing but noted there can be no assurance that it will regain or maintain compliance with Nasdaq’s listing requirements.

This information is based on a press release statement and a Form 8-K filing with the Securities and Exchange Commission.

In other recent news, Innventure, Inc. reported a significant second-quarter loss that was wider than analysts had anticipated, with revenue falling short of expectations. The company posted an adjusted loss of 32 cents per share, compared to the forecasted loss of 23 cents, while revenue reached only $900,000 against projections of $1.97 million. This financial performance marks a notable downturn for the company. Additionally, Innventure announced that seven senior management members and directors have voluntarily forfeited a total of 435,168 shares of the company’s common stock. These shares were initially issued in connection with “Milestone One” related to an Accelsius purchase order from Dark NX. The decision to forfeit the shares followed a review by the company’s Board of Directors. These developments highlight a period of adjustment and reevaluation for Innventure.
