Virtuix Holdings Inc. (NASDAQ:VTIX) announced a change in its independent registered public accounting firm, according to a press release statement based on a filing with the Securities and Exchange Commission.

On Tuesday, the company’s Audit Committee approved the engagement of EisnerAmper LLP as Virtuix Holdings’ new independent auditor for the fiscal year ending March 31, 2027. The appointment became effective with the execution of an engagement letter on the same day.

As a result, M&K CPAS, PLLC, which previously served as Virtuix Holdings’ independent auditor, ceased its role effective upon the new engagement. The company stated that M&K’s audit reports for the fiscal years ended March 31, 2026, and March 31, 2025, did not contain adverse opinions or disclaimers of opinion, nor were they qualified or modified as to uncertainty, audit scope, or accounting principles, except for an explanatory paragraph regarding the company’s ability to continue as a going concern.

Virtuix Holdings also reported that during the fiscal years ended March 31, 2026 and 2025, as well as the subsequent interim period, there were no disagreements between the company and M&K on accounting principles, financial statement disclosures, or auditing procedures. Additionally, there were no reportable events as defined by SEC regulations.

The company confirmed that prior to engaging EisnerAmper, neither Virtuix Holdings nor anyone on its behalf consulted the new firm regarding the application of accounting principles or any audit opinions for the company’s financial statements.

A letter from M&K CPAS, PLLC, dated Wednesday, regarding its concurrence with these disclosures, was filed as an exhibit to the Form 8-K.

Virtuix Holdings Inc. is incorporated in Delaware and is listed on the Nasdaq Global Market under the symbol VTIX.
