Starz Entertainment renews CFO Scott Macdonald’s contract through 2028

Starz Entertainment Corp. (NASDAQ:STRZ) announced that its wholly owned subsidiary, Starz Entertainment, LLC, entered into a new employment agreement with Chief Financial Officer Scott Macdonald. The agreement, effective October 1, 2026, extends Macdonald’s term as CFO through September 30, 2028, with a possible one-year extension to September 30, 2029, if notified by the company.

Under the agreement, Macdonald will receive an annual base salary of $1,060,000. He is eligible for an annual bonus with a target opportunity equal to 125% of his base salary, contingent on performance criteria set by the company’s Compensation & Talent Committee. If Macdonald’s employment ends in a qualifying termination during the agreement’s term or is not continued beyond the term, he is eligible for a prorated annual bonus for the fiscal year of termination, based on actual performance.

The agreement also provides for annual equity awards, subject to Compensation Committee approval. The target grant date value of these awards is set at 70% of Macdonald’s annual base salary. The awards may include time-based restricted share units, performance-based restricted share units, stock options, or other equity instruments as determined by the committee. Time-based awards vest over three years, while performance-based awards are eligible to vest over the same period, depending on the achievement of performance goals.

If Macdonald’s employment is terminated in a qualifying termination during the contract term, and he meets certain conditions, he will receive cash severance equal to 18 months of his base salary and payment of COBRA premiums for up to 18 months. In the event of a change in control and a qualifying termination within six months, unvested portions of his annual equity awards scheduled to vest within 12 months will accelerate and vest, with performance-based awards vesting based on actual performance.

The agreement includes confidentiality and non-solicitation provisions, restricting Macdonald from soliciting company employees for 12 months after termination.
