Amass Brands announces CFO transition, preferred stock changes, and warrant termination
Amass Brands Inc. (NASDAQ:AMSS) reported several corporate actions this week, according to a press release statement based on a filing with the Securities and Exchange Commission.
On Monday, Zachary Ament notified the company of his resignation as Chief Financial Officer, effective November 16, 2026. The company stated that Mr. Ament’s resignation was not due to any disagreement regarding company operations, policies, or financial reporting. The board of directors has begun a search for a permanent replacement.
The board appointed Geoffrey McFarlane as Interim Chief Financial Officer, effective November 17, 2026. Mr. McFarlane, age 43, previously served as the company’s Interim CFO from July 2024 to August 2025 and has been a consultant to Amass Brands since August 2025. He is also a co-founder of Westbound & Down Brewing Company and has held executive positions at Winc Wines. Amass Brands is negotiating a compensation arrangement with Mr. McFarlane, and no new compensatory agreement has been finalized as of this week.
On Tuesday, the company filed a Second Amended and Restated Certificate of Designation for its Series C Convertible Preferred Stock with the Delaware Secretary of State. The amendment, approved by the board and holders of a majority of outstanding Series C Preferred Stock, reduces the minimum “Floor Price” for conversion from $4.00 per share to $1.00 per share. It also removes the previous $0.75 per share minimum threshold for “Market Price,” which will now be calculated as 90% of the lowest daily volume weighted average price of the company’s common stock during the ten trading days prior to the measurement date. The filing also includes conforming and clarifying changes.
Additionally, Amass Brands entered into a Warrant Termination Agreement with Streeterville Capital, LLC. The agreement cancels a warrant initially exercisable for up to 3,500,000 shares of common stock, issued to the investor in April 2026. No payment is due from Amass Brands in connection with the termination, and the investor released the company from related claims and obligations under the warrant.
These actions were disclosed in a Form 8-K filed with the SEC.
