Why is Surgery Partners stock surging today?

Surgery Partners stock surged 46.3% in morning trading after the company announced a definitive agreement to be acquired by HealthSpan Partners, a contractual affiliate of not-for-profit health system Bon Secours Mercy Health, in an all-cash transaction valued at approximately $5.7 billion in enterprise value.

Under the terms of the deal, shareholders other than affiliates of Bain Capital will receive $23.50 per share in cash — a premium of roughly 49% to the prior session’s close of $15.75.

A key structural element supporting investor confidence is that Bain Capital, which holds approximately 39% of Surgery Partners’ outstanding shares, will roll over its equity stake into the acquiring entity rather than selling, effectively remaining a significant partner post-closing. This follows a prior failed attempt in 2025 in which Bain itself sought to take the company private at an even higher enterprise valuation, highlighting the enduring strategic appeal of Surgery Partners’ network of more than 176 surgical centers and hospitals spread across 30 U.S. states. An investor rights law firm also announced today it is investigating whether the deal adequately compensates shareholders, a common development in take-private transactions of this size.

The broader market offered a mildly supportive backdrop, with the S&P 500 gaining 0.8% and the Nasdaq advancing 0.9%, lifted by falling oil prices and anticipation of a heavy week of major technology earnings and the Federal Reserve’s upcoming policy decision. The deal also aligns with a well-established sector trend of large hospital systems expanding into outpatient surgical settings to diversify revenue streams beyond traditional inpatient care.

Taken together, the confirmed take-private agreement at a significant cash premium — amplified by Bain’s continued involvement and the strategic logic of the combination — fully explains today’s outsized move, pushing SGRY to reach $23.05 and approach its 52-week high of $23.44.
