Why is CVR Energy stock sliding today?
CVR Energy stock is sliding 5.3% in pre-open trading today after the company launched a $750 million underwritten public equity offering tied to its blockbuster $4.2 billion deal to acquire two Marathon Petroleum refineries, with investors reacting negatively to the prospect of significant share dilution. The offering consists of $500 million in new company shares and an additional $250 million from IEP Energy Holding LLC, an indirect subsidiary of Icahn Enterprises and CVR Energy’s controlling shareholder, with proceeds earmarked to help fund the acquisition and redeem outstanding senior notes due 2028.
The acquisition itself — covering Marathon’s 105,000 barrel-per-day St. Paul Park refinery in Minnesota and the 72,000 barrel-per-day Mandan refinery in North Dakota, along with a marketing business — would nearly double CVR Energy’s refining capacity and was framed by management as a transformative expansion. The deal is expected to close by year-end and is being funded through a combination of $2.5 billion in committed secured debt, the equity offering, a $500 million equity commitment from the controlling shareholder, and an $800 million equity investment from Trafigura. Despite a strong underlying Q3 earnings report — adjusted EPS of $4.00 significantly exceeded analyst expectations, and revenue of $3.28 billion came in well above consensus — the dilution concern from the equity raise dominated market sentiment.
The broader market backdrop offered little support, with U.S. equities drifting cautiously as midterm election voting got underway, keeping risk appetite subdued. The S&P 500 edged marginally higher while the Dow Jones slipped modestly, reflecting a wait-and-see tone across the market. Analysts’ existing consensus price target for CVI had already been sitting well below the stock’s recent trading levels, indicating pre-existing skepticism about the company’s valuation.
Taken together, the combination of a large, debt-heavy acquisition and an immediate dilutive equity raise proved to be more than the strong quarterly results could offset, driving a classic "sell the news" reaction in pre-market trading and pulling the stock well off its session high of $58.69.
