Pearson shares fell 2.5% on Wednesday after Citi downgraded the stock to “neutral” from “buy,” saying a roughly 40% rally since the February low had left the shares fairly valued with limited near-term upside.
The broker raised its target price to 1,345 pence from 1,300 pence, driven mainly by a higher target multiple of 17 times from 16.5 times. At the current valuation, the shares trade at 17.4 times Citi’s 2026 estimated price-to-earnings ratio.
Pearson’s first-half results showed positive operational progress, including small beats on sales and adjusted EBIT, with organic growth momentum in the Virtual Learning division and margin gains across Higher Education, Virtual Learning and Enterprise Learning & Skills, Citi said.
Offsetting that progress, first-half margins in Assessment & Qualifications were weaker than expected due to sales mix and one-time delivery costs, while the company downgraded its guidance for English Language Learning organic growth.
Citi trimmed its 2026 organic growth forecast for Pearson to 4.7% from 4.8%, putting it about 10 basis points below Visible Alpha consensus.
The broker cut its adjusted EBIT and earnings-per-share forecasts for the year by 1% each, citing weaker Assessment & Qualifications margins and downgraded English Language Learning guidance. Citi’s new diluted earnings-per-share estimate for 2026 is 70.6 pence, down from 71.5 pence.
Pearson’s medium-term outlook calls for average margin improvement of 40 basis points per year, and the 140-basis-point improvement in first-half margin suggests that figure is a floor rather than a ceiling, Citi said.
The brokerage said Pearson’s margin progression had significant runway over the longer term, with management focused on reinvestment to support long-term organic growth and further scope for cost efficiencies as the operating model evolves.
Citi said fourth-quarter results would be a key driver of near-term performance, noting that comparisons at the group level are about 400 basis points tougher in the fourth quarter than in the third.
Management has flagged that third-quarter organic growth will be stronger than fourth-quarter growth, reflecting comparison bases of 4% and 8%, respectively.
The analysts target price is based on a 60%/40% weighting of target multiple and discounted cash flow methodology, using a weighted average cost of capital of 8.9% and a terminal growth rate of 2%.
Citi’s target multiple increase to 17 times reflects strong operational momentum and dissipating concerns around artificial intelligence disintermediating the business, the brokerage said.
Citi listed risks to its target price, including AI-enabled competitors disrupting end markets, a forecast U.S. demographic headwind to enrolment numbers affecting higher education revenue, AI-generated educational content and reduced immigration affecting PTE growth.
Pearson shares closed at £12.26 on Sept. 1. The stock has a market capitalisation of £7.37 billion.
