Silver Bow Mining amends asset purchase agreement with Montana Goldfields

Silver Bow Mining Corp. (NYSE American:SBMT) announced an amendment to its asset purchase agreement with Montana Goldfields, Inc. and Montana Tunnels Mining, Inc., according to a press release statement included in a filing with the Securities and Exchange Commission.

The amendment, signed with an effective date of October 14, 2026, modifies the original agreement dated August 21, 2026. The changes relate to the timing and requirements for the delivery of audited financial statements and the preparation of a proxy statement for a planned shareholder meeting.

Under the revised terms, the definition of the "Outside Date" has been updated. It is now set as 60 days following the delivery by the sellers of audited financial statements for Montana Tunnels Mining, Inc. covering its last two fiscal years, in a form suitable for inclusion in the proxy statement required under Section 5.17 of the original agreement.

The amendment also updates Section 5.4 of the agreement. Silver Bow Mining Corp. will be required to prepare and file a preliminary proxy statement with the SEC within five business days after receiving the audited financial statements from the sellers. This proxy statement will be used for a shareholder meeting to seek approval for the transaction.

Additionally, Section 5.17 has been revised to specify that the sellers will use reasonable efforts to produce the audited financial statements of Montana Tunnels Mining, Inc. for its last two fiscal years, or any other period required by the SEC, audited by an independent public accounting firm registered with the Public Company Accounting Oversight Board. The deadline for providing these audited financials is no later than October 31, 2026.

Except for the changes outlined in the amendment, the original asset purchase agreement remains in effect.
