Game Your Game appoints new CFO and amends executive agreements

Game Your Game, Inc. (NASDAQ:GYGY) announced several changes to its executive leadership and financial arrangements, according to a statement filed with the Securities and Exchange Commission.

On October 23, the board of directors appointed Wendy Loundermon as Chief Financial Officer, effective October 16, 2026. Loundermon succeeds Dominic Poole, who had served as CFO since December 2016. Poole will remain with the company as Vice President of Finance with no changes to his compensation.

Loundermon, age 56, brings over 24 years of experience in finance and accounting. Prior to joining Game Your Game, she served as CFO of Grafiti LLC from March 2024 to October 2026. She also held CFO and director roles at Inpixon, later renamed XTI Aerospace, Inc. Loundermon holds degrees in Accounting and Taxation from George Mason University.

Her employment agreement includes a base salary of $200,000, a $25,000 signing bonus, and eligibility for a transaction bonus of up to 1.0% of consideration paid in certain acquisitions. She will also receive stock options to purchase 200,000 shares, vesting over 48 months, and standard employee benefits. The agreement provides for severance, benefits continuation, and accelerated vesting of equity in the event of certain terminations.

The company also amended the employment agreement of Chief Executive Officer Soumya Das. Effective October 1, 2026, Das’ base salary increases from $200,000 to $300,000. His maximum annual bonus opportunity rises from $50,000 to $200,000, payable in cash or stock and subject to performance milestones. The structure of Das’ acquisition-related bonuses was modified, and his stock option grants were increased to two grants of 500,000 options each, vesting over 48 months.

Additionally, on October 23, Game Your Game amended warrants previously issued to Streeterville Capital, LLC. The exercise price of warrants to purchase a total of 1,500,000 shares was reduced to $1.00 per share. Streeterville also agreed to waive certain provisions in related agreements. The warrants were issued in private transactions exempt from registration under the Securities Act.
