Under the terms of the merger agreement, each outstanding share of Arcosa common stock was converted into the right to receive $150.00 in cash, subject to applicable withholding taxes. Equity awards granted prior to June 21, 2026, became fully vested and were also settled in cash at $150.00 per share, including any accrued but unpaid dividend equivalents.

To finance the acquisition, CRH Americas used proceeds from a $3.25 billion bridge facility, a $2.5 billion term loan facility with J.P. Morgan SE and other lenders, and cash on hand.

In connection with the merger, Arcosa terminated its $700 million senior secured revolving credit facility and $700 million senior secured term loan facility, repaying all outstanding borrowings of approximately $450.1 million. The company did not incur any material early termination fees or penalties related to this repayment.

As a result of the merger, Arcosa requested the suspension of trading and removal of its common stock from listing on both the New York Stock Exchange and NYSE Texas prior to the opening of trading Friday. The company also plans to file to deregister its common stock with the Securities and Exchange Commission and suspend its public reporting obligations.

All members of Arcosa’s board of directors and officers resigned at the effective time of the merger, with directors and officers of the merger subsidiary assuming those roles at Arcosa.
